2.1."YCS" or "Yacht Charter Suite" refers to our suite of products including YCS Academy, YCS Capture, YCS AdMaster, YCS Convert, YCS Retain, YCS Host, YCS Bridge and YCS Fleet+.
2.2."User," "you," or "your" refers to any individual or entity using our Services.
2.3."Content" means all text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and other materials provided through the Services.
3.Scope of Services
3.1.YCS Academy: Training and certification programs for aspiring and professional yacht charter brokers.
3.2.YCS Capture: Landing page creation and lead generation tools designed to attract high-intent clients for yacht charter businesses.
3.3.YCS AdMaster: Paid advertising management services that drive targeted traffic to capture leads and maximize ROI.
3.4.YCS Convert: Deal closing and client collaboration tools that streamline proposal sharing, group decision-making, and communication between brokers and clients.
3.5.YCS Retain: Client retention and relationship management tools that enhance post-booking experiences and encourage repeat business and referrals.
3.6.YCS Fleet+: Yacht fleet management and marketing tools that centralize operations, availability, and promotional assets for seamless brokerage and operational efficiency.
3.7.YCS Host: Fully hosted, bespoke website solutions for yacht charter brokers and central agents, featuring custom design, SEO optimization, and integration with YCS tools to deliver a complete digital presence.
3.8.YCS Bridge: Secure API service for real-time distribution of yacht charter data (availability, pricing, specifications) to authorized third-party platforms, retail brokers, and booking systems.
4.Account Registration
4.1.To access certain Services, you must register for an account and provide accurate, current, and complete information.
4.2.You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.3.You must notify us immediately of any unauthorized use of your account.
5.Intellectual Property Rights
5.1.All intellectual property rights in and to the Services, including all copyright, trademarks, design rights, database rights, and other intellectual property rights, are owned by or licensed to us.
5.2.You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes only, in accordance with these Terms.
5.3.You must not: (a) Copy, modify, distribute, sell, or lease any part of our Services (b) Reverse engineer or attempt to extract source code from our Services (c) Remove any copyright or other proprietary notices from any Content (d) Use the Services for any purpose that is unlawful or prohibited by these Terms.
6.User Obligations
6.1.You agree to: (a) Provide accurate and complete information when using our Services (b) Comply with all applicable laws and regulations (c) Not use the Services to send unsolicited communications (d) Not interfere with or disrupt the Services or servers hosting the Services (e) Not attempt to gain unauthorized access to any portion of the Services.
7.Payments
7.1.All fees for our Services are specified on our website or in separate agreements.
7.2.Unless otherwise stated, all fees are quoted in EUR and are exclusive of VAT and other applicable taxes.
7.3.Payment Terms
7.3.1.Subscription Payments
For recurring subscription services, payment will be collected automatically on the billing date using the payment method on file. By subscribing to our services, you authorize us to charge your payment method on a monthly, quarterly, or annual basis as selected during signup.
7.3.2.Automatic Payment Processing
All subscription payments are processed automatically without the need for individual invoices. You will receive email confirmation of each payment, including the service period covered and amount charged.
7.3.3.Failed Payments
If an automatic payment fails, we will notify you and attempt to process the payment again after 3 business days. If payment is not successfully processed within 10 business days, your account may be suspended until payment is received.
7.3.4.Bespoke Services Invoicing
For custom services not covered by standard subscriptions (including but not limited to custom development, special consulting engagements, and one-time implementation services), we will issue a manual invoice specifying the scope of work and payment terms.
7.3.5.Manual Invoice Payment Terms
Payment for manually invoiced bespoke services is due within 30 days of the invoice date unless otherwise agreed in writing. Late payments will incur interest at the rate of 4% per annum above the Bank of England base rate.
7.3.6.Subscription Changes
Any changes to your subscription level, features, or billing frequency will be reflected in your next billing cycle. Downgrades will take effect at the end of the current billing period, while upgrades will be prorated and charged immediately.
7.3.7.Payment Method Updates
You are responsible for maintaining valid payment information. We will notify you if your payment method is expiring or has failed, and you must update your payment details within 10 business days to avoid service interruption.
7.3.8.Taxes
All fees are quoted in EUR and are exclusive of VAT and any other applicable taxes, which will be added to your invoice or subscription charge as required by law.
7.3.9.Refunds
Subscription fees are non-refundable except as required by law. For bespoke services, refund eligibility will be specified in the individual service agreement.
8.Cancellation and Termination
8.1.You may cancel your subscription to our Services in accordance with the terms specified in your subscription plan.
8.2.We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach any of these Terms.
8.3.Upon termination, your right to use the Services will immediately cease.
9.Limitation of Liability
9.1.To the maximum extent permitted by law, we exclude all representations, warranties, conditions, and terms implied by statute, common law, or otherwise.
9.2.We shall not be liable for: (a) Any indirect, incidental, special, consequential, or exemplary damages (b) Loss of profits, goodwill, use, data, or other intangible losses (c) Any damages resulting from unauthorized access to or alteration of your data.
9.3.Our total liability to you for any claim arising out of or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10.2.You agree to comply with all applicable data protection laws when using our Services.
11.Third-Party Services
11.1.Our Services may include or be used in conjunction with third-party services.

12.Changes to Terms
12.1.We may modify these Terms at any time by posting the revised Terms on our website.
12.2.Your continued use of the Services after such changes constitutes acceptance of the new Terms.
13.Governing Law and Jurisdiction
13.1.These Terms shall be governed by and construed in accordance with the laws of England and Wales.
13.2.Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.1.If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary to allow the remaining provisions to remain in full force.
14.2.Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.3.These Terms constitute the entire agreement between you and us regarding the use of the Services.
